1. Introduction
Welcome to The Smile Grid (“SmileGrid,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of our websites, applications, software, and related services, including the SmileGrid platform made available through thesmilegrid.com, tenant subdomains, and related interfaces (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a clinic, company, partnership, or other organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Services.
2. About The Smile Grid
The Smile Grid is a software platform designed to support dental and clinic operations, including patient flow, registration, clinical workflows, operational dashboards, branch management, user access management, branding controls, and related administrative functions.
The Services may include:
- A public marketing website
- A platform administration portal
- Tenant workspaces for customer organizations
- Related support, onboarding, inquiry, and account management services
3. Eligibility and Authority
You may use the Services only if:
- You are legally capable of entering into a binding agreement
- You are authorized to act on behalf of the organization you represent, where applicable
- Your use of the Services complies with these Terms and applicable law
If you are an employee, contractor, doctor, frontdesk staff member, or administrator using the Services for a customer organization, your rights to use the Services may also be subject to your organization’s internal policies and instructions.
4. Accounts and Access
You may be required to create or use an account to access some or all parts of the Services.
You agree to:
- Provide accurate, current, and complete account information
- Keep your login credentials confidential
- Use reasonable security practices to prevent unauthorized access
- Notify us promptly of any suspected unauthorized use of your account
- Ensure that only authorized persons access the Services under your account
You are responsible for activities that occur under your account unless caused by our own actions or failure to meet our obligations.
We may suspend, restrict, or terminate access where we reasonably believe:
- An account has been compromised
- The Services are being misused
- Access is unauthorized
- Suspension is necessary for security, legal, operational, or compliance reasons
5. Customer Organizations and Workspace Access
Customer organizations may access SmileGrid through tenant-specific workspaces or subdomains. Access to a workspace is controlled by the relevant customer organization and SmileGrid’s role- and permission-based access controls.
We may require users to enter a workspace, company domain, or similar identifier to route them to the correct tenant environment.
SmileGrid reserves the right to reject, suspend, or modify workspace routing or domain-related settings where necessary for security, platform integrity, or lawful operation.
6. Customer Data and Clinic Responsibilities
The Services may allow customer organizations to submit, manage, store, or process business and operational information, including clinic records, staff account data, and data entered into the platform relating to patient administration or clinical operations (“Customer Data”).
As between SmileGrid and the customer organization:
- The customer organization remains responsible for the legality, accuracy, integrity, and appropriateness of Customer Data submitted to the Services
- The customer organization is responsible for obtaining all notices, permissions, authorizations, and lawful grounds required under applicable law for the collection and use of Customer Data, including patient-related data entered into the Services
- SmileGrid processes Customer Data in accordance with applicable agreements, these Terms, and our Privacy Policy
Customer organizations must not use the Services to upload or process Customer Data in violation of applicable law, professional obligations, confidentiality duties, or third-party rights.
7. Acceptable Use
You agree not to:
- Use the Services for any unlawful, fraudulent, harmful, or abusive purpose
- Attempt to gain unauthorized access to any user, account, tenant, clinic, system, or data
- Bypass or interfere with authentication, authorization, tenant isolation, clinic restrictions, or other security controls
- Probe, scan, reverse engineer, decompile, or attempt to discover source code except where expressly permitted by law
- Upload malware, malicious code, harmful files, or content intended to disrupt the Services
- Use automated means to scrape, harvest, or extract data from the Services without authorization
- Interfere with the performance, integrity, or availability of the Services
- Use the Services to store or transmit content that is defamatory, obscene, infringing, or otherwise unlawful
- Impersonate another person or misrepresent affiliation with an organization
- Use the Services in any way that could harm SmileGrid, our users, or third parties
We may investigate suspected violations and take action including suspension, access restriction, deletion of prohibited content where lawful, or reporting to relevant authorities.
8. Inquiries, Demo Requests, and Communications
If you submit a contact form, inquiry, demo request, or similar request through the SmileGrid website, you agree that:
- The information you provide is accurate to the best of your knowledge
- We may use that information to respond to your request, provide product information, schedule a demonstration, or manage our pre-sales process
- We may retain and manage your inquiry as described in our Privacy Policy
Submission of a demo request, inquiry, or contact form does not create any guarantee of service, support, onboarding, or acceptance as a customer.
9. Fees, Billing, and Renewals
Paid use of the Services may be governed by a separate order form, subscription agreement, statement of work, commercial proposal, or similar customer contract.
Unless otherwise agreed in writing:
- Fees are payable as set out in the applicable commercial agreement
- Subscription terms, renewals, billing cycles, taxes, and refund rules are governed by the applicable contract and published policies where relevant
- We may suspend paid Services for non-payment after reasonable notice, subject to applicable contract terms and law
10. Intellectual Property
SmileGrid and its licensors retain all rights, title, and interest in and to the Services, including all software, designs, interfaces, workflows, branding, documentation, and related intellectual property, except for Customer Data and third-party materials properly provided by customers.
These Terms do not grant you ownership of the Services. Subject to these Terms and any applicable commercial agreement, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes.
You may not:
- Remove proprietary notices
- Copy or redistribute the Services except as expressly permitted
- Create derivative works from the Services except as expressly permitted
- Use SmileGrid branding without authorization
11. Third-Party Services
The Services may interoperate with or contain links to third-party services, websites, content, or integrations. We are not responsible for third-party services except as expressly stated in a written agreement.
Your use of third-party services is subject to their own terms and privacy practices.
12. Availability, Maintenance, and Changes
We may update, modify, improve, suspend, or discontinue parts of the Services from time to time.
While we aim to maintain reliable service, we do not guarantee uninterrupted or error-free operation unless expressly provided in a separate written service commitment.
We may perform maintenance, security updates, infrastructure changes, or feature releases that affect availability or functionality.
13. Security
We use reasonable technical and organizational measures designed to protect the Services and Customer Data. However, no platform, network, storage system, or transmission method can be guaranteed as perfectly secure.
Users and customer organizations are responsible for:
- Maintaining the confidentiality of credentials
- Controlling user access appropriately
- Using the Services in accordance with their security obligations
- Notifying us promptly of suspected compromise, misuse, or unauthorized access
Where applicable, cyber incidents may need to be reported and handled in accordance with applicable law and regulatory directions.
SmileGrid does not guarantee that the Services will be free from all vulnerabilities, outages, or security incidents.
14. Privacy and Data Protection
Our collection and handling of personal data are described in our Privacy Policy.
Where SmileGrid processes personal data on behalf of customer organizations, the customer organization is generally responsible for determining the lawful basis and purpose for such processing, and SmileGrid acts in accordance with applicable instructions, contract terms, and applicable law.
15. Confidentiality
Where confidential information is disclosed by one party to another in connection with the Services, the receiving party shall use reasonable care to protect that information and shall not use it except as needed to perform obligations, exercise rights, or comply with law.
This clause does not apply to information that:
- Is or becomes public without breach
- Was already lawfully known
- Is independently developed without improper use
- Must be disclosed by law or lawful order
16. Suspension and Termination
We may suspend or terminate access to the Services, in whole or in part, if:
- You breach these Terms
- Required by law or lawful direction
- Necessary to protect security, integrity, users, or infrastructure
- Fees remain unpaid under applicable commercial terms
- An account or tenant environment is involved in abuse, fraud, or high-risk activity
You may stop using the Services at any time. Additional termination rights and consequences may be governed by a separate customer agreement.
Termination does not affect rights or obligations that by their nature survive, including confidentiality, payment obligations already accrued, intellectual property, disclaimers, limitations of liability, and dispute clauses.
17. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis unless expressly stated otherwise in a written agreement.
SmileGrid disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability, except to the extent such disclaimers are not permitted by law.
SmileGrid does not provide medical advice, clinical judgment, diagnosis, or treatment recommendations. Any clinical decisions remain the responsibility of qualified professionals and the relevant customer organization.
18. Limitation of Liability
To the maximum extent permitted by law, SmileGrid and its affiliates, directors, officers, employees, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, goodwill, revenue, business opportunity, or data, arising from or related to the Services.
To the maximum extent permitted by law, SmileGrid’s aggregate liability arising out of or relating to the Services shall not exceed the amount paid by the relevant customer to SmileGrid for the Services during the 12 months immediately preceding the event giving rise to the claim, unless a different limit is stated in a written commercial agreement.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
19. Indemnity
You agree to indemnify and hold harmless SmileGrid, its affiliates, and their personnel from claims, losses, liabilities, damages, and expenses arising from:
- Your misuse of the Services
- Your breach of these Terms
- Your violation of applicable law
- Your infringement of third-party rights
- Customer Data submitted by you or your organization in violation of law or rights
20. Governing Law and Jurisdiction
These Terms shall be governed by the laws of India.
Subject to applicable law and any agreed dispute resolution process, courts located in [City, State, India] shall have exclusive jurisdiction over disputes arising out of or in connection with these Terms.
21. Changes to These Terms
We may update these Terms from time to time. Where required, we will publish the updated version with a revised effective date. Continued use of the Services after an update becomes effective constitutes acceptance of the updated Terms, unless applicable law requires a different process.
